SectorlyGov – Terms of Service
1) Agreement to Terms
By accessing or using SectorlyGov (the "Service"), you agree to be bound by these Terms and all referenced policies, including our Privacy Policy and any Data Processing Addendum (DPA) executed between you and us. If you are entering into these Terms on behalf of a company or other legal entity, you represent that you have authority to bind that entity.
2) The Service
SectorlyGov enables government contracting teams to filter SAM.gov notices and synchronize selected items into HubSpot as Deals, and to subscribe to ongoing updates. The Service provides configuration, automation, and user interface features but does not provide legal advice or procurement compliance guidance.
3) Eligibility & Accounts
You must (a) be at least the age of majority in your jurisdiction, (b) have a valid HubSpot account with sufficient permissions to create and update Deals and view pipelines, and (c) provide accurate registration information. You are responsible for maintaining the security of your login credentials and your HubSpot account permissions.
4) Customer Responsibilities

Configure filters, pipeline, and stage settings appropriate to your use case.

Maintain required HubSpot permissions and manage your users’ access.

Comply with applicable laws and procurement rules when using data from SAM.gov.

Ensure any content you add to HubSpot via the Service does not violate third‑party rights or applicable policy.

Do not use the Service for unlawful, harmful, or abusive purposes (see Acceptable Use).
5) Acceptable Use
You agree not to: (i) probe or breach security, (ii) reverse engineer the Service, (iii) circumvent usage limits or API rate limits, (iv) submit malicious code, or (v) use the Service to spam, harass, or unlawfully profile individuals or entities. We may suspend or terminate access for violations.
6) Integrations & Third‑Party Services
SectorlyGov integrates with HubSpot and uses public data from SAM.gov. Your use of those services is governed by their respective terms. We are not responsible for third‑party services, their availability, changes, data practices, or limits (including HubSpot pipeline limits or API rate limits). If a third‑party service becomes unavailable or changes materially, we may adjust or discontinue related features.
7) Data; Privacy; Security

Customer Data. You retain all rights to the data you submit or configure in the Service and to Deal records created in your HubSpot account.

Processing. We process Customer Data to provide and improve the Service and as described in the Privacy Policy and any executed DPA. Where required, we will enter into a DPA that includes appropriate technical and organizational measures.

Security. We maintain reasonable administrative, technical, and physical safeguards designed to protect Customer Data.
8) Subscription, Fees & Trials

Plans. Access to the Service may require a paid subscription. Plan features and pricing may vary.

Billing. By subscribing, you authorize recurring charges to your payment method. Fees are non‑refundable except where required by law or as stated in an Order.

Changes. We may modify fees or plan features upon renewal or with notice for month‑to‑month terms.

Taxes. Fees are exclusive of taxes; you are responsible for any applicable taxes.

Trials. If you use a free trial, the Service may convert to a paid plan unless cancelled before the trial ends.
9) Service Behavior & Functional Notes

Deal Stage Preservation. When updating existing Deals, the Service does not overwrite the Deal stage you or your workflows have set. New Deals are created in your selected pipeline and starting stage.

Pipeline Options. Depending on your HubSpot plan, you may (a) select an existing pipeline and stage or (b) create a new “SAM.gov” pipeline. If your plan has reached its pipeline limit, the option to create a new pipeline may be disabled.

Rate Limits & Availability. The Service depends on HubSpot and SAM.gov APIs and may be affected by their availability and rate limits.
10) Support; Changes; Beta Features

Support. We provide reasonable support via the channels listed in Contact below.

Changes. We may enhance, modify, or discontinue features. If a change materially reduces core functionality for your current paid term, we will use reasonable efforts to notify you.

Beta/Preview. Beta features are provided "as is" without warranties and may be discontinued at any time.
11) Intellectual Property; Feedback
We own the Service and all related IP. You own your Customer Data. If you provide feedback, you grant us a non‑exclusive, perpetual, irrevocable license to use it without obligation.
12) Confidentiality
Each party may receive confidential information from the other; each agrees to protect it with reasonable care and to use it only as necessary to perform under these Terms. This obligation survives termination.
13) Disclaimers
THE SERVICE AND ALL RELATED MATERIALS ARE PROVIDED "AS IS" AND "AS AVAILABLE." TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON‑INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE ERROR‑FREE OR UNINTERRUPTED, OR THAT DATA FROM SAM.GOV OR THIRD PARTIES WILL BE ACCURATE OR COMPLETE.
14) Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, NEITHER PARTY IS LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, COVER, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS OR REVENUE, EVEN IF ADVISED OF THE POSSIBILITY. EXCEPT FOR PAYMENT OBLIGATIONS OR YOUR INDEMNITY, EACH PARTY’S TOTAL LIABILITY UNDER THESE TERMS SHALL NOT EXCEED THE AMOUNTS PAID BY YOU FOR THE SERVICE IN THE 12 MONTHS PRIOR TO THE EVENT GIVING RISE TO LIABILITY.
15) Indemnification
You will indemnify and hold us harmless from third‑party claims arising from your use of the Service in violation of these Terms or applicable law, or from Customer Data you submit to the Service.
16) Term; Termination; Suspension

Term. These Terms commence when you first access the Service and continue while you use it, subject to your subscription term.

Termination. Either party may terminate for material breach if not cured within 30 days of written notice. We may terminate immediately for violations of law or Acceptable Use.

Suspension. We may suspend access for non‑payment, security risks, or violations of these Terms.
17) Effect of Termination
Upon termination, your access to the Service ceases. You can continue to access your Deals and data in HubSpot. Upon request, and subject to our data retention schedules, we will delete or return Customer Data that resides in our systems within a reasonable period, except where retention is required by law.
18) Export; Sanctions; Anti‑Corruption
You represent that you are not on any U.S. or other applicable sanctions list and will not use the Service in violation of export control laws. You will comply with anti‑corruption and anti‑bribery laws.
19) Governing Law; Dispute Resolution
These Terms are governed by the laws of the State of Delaware, without regard to conflicts of law rules. Disputes will be resolved by binding arbitration administered by a reputable provider in a mutually agreed location (or virtually), except that either party may seek injunctive relief in a court of competent jurisdiction or bring a claim in small‑claims court. Class actions are waived to the extent permitted by law.
20) Notices
Notices must be in writing and are deemed given when sent to the contacts below or to the email/address on your account. You consent to electronic communications.

21) Changes to These Terms
We may update these Terms from time to time. If changes materially affect your rights or obligations, we will provide notice (e.g., by email or in‑app). Your continued use after the effective date constitutes acceptance of the updated Terms.
22) Entire Agreement; Order of Precedence
These Terms, the Privacy Policy, any DPA, and any Order or subscription confirmation constitute the entire agreement. If there is a conflict between these documents, the following order prevails: (1) DPA (with respect to data protection), (2) Order, (3) these Terms, (4) Privacy Policy.

Appendix A – Service Description (Summary)

Data Source: Public SAM.gov notices

Primary Destination: HubSpot Deals in a pipeline/stage you select (or a new pipeline where permitted)

Sync Behavior: Daily automated sync (optional) and on‑demand "Sync Now". Updates to existing notices do not change the Deal stage.

Appendix B – Data Retention (Summary)

In HubSpot: Records created by the Service remain in your HubSpot account under your control.

In SectorlyGov: Minimal configuration data (filters, pipeline settings, auth tokens) retained while your subscription is active, then deleted per retention policy after termination, except where legally required.
